Terms of Service

These Terms of Service ("Terms") govern your access to and use of Aquil (the "Service"), provided by [Company legal name] ("we", "us", "our"). By using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

Acceptance and scope

By creating an account or using the Service, you accept these Terms. They apply to all use of the Service unless a separate written agreement (e.g. enterprise or data processing agreement) expressly supersedes them. Our Privacy Policy and Cookie Policy form part of the contractual framework where referenced.

Description of the Service

Aquil is a software-as-a-service product for building and managing an Information Security Management System (ISMS), including documentation, compliance assistance, and related features. We provide the Service on a subscription basis. Specific features, availability, and service levels may be described in your order or plan.

Account and security responsibility

You are responsible for: maintaining the confidentiality of your account credentials; all activity under your account; ensuring that your use and that of your organisation comply with these Terms and applicable law; and the accuracy and lawfulness of data you or your organisation upload or process via the Service. You must notify us promptly of any unauthorised access or breach of security.

Acceptable use

You may use the Service only in accordance with these Terms and applicable law. You must not: use the Service for any illegal purpose or to infringe others' rights; attempt to gain unauthorised access to the Service or related systems; interfere with or disrupt the Service; resell or sublicense the Service except as permitted; or use the Service in a way that could harm us, other users, or third parties. We may suspend or terminate access in case of breach.

Intellectual property

We (or our licensors) own all rights in the Service, its design, and our brand. You do not acquire any ownership rights by using the Service. You retain ownership of content you upload; you grant us the limited rights necessary to operate and provide the Service (e.g. storing, processing, and displaying your content). You must not copy, modify, or create derivative works of the Service except as permitted in writing.

Fees and payment

Subscription fees, billing cycles, and payment terms are as set out in your plan or order. Fees are generally due in advance. We may change fees upon reasonable notice for renewal periods. Failure to pay may result in suspension or termination of the Service.

Suspension and termination

We may suspend or terminate your access immediately if you breach these Terms or for operational, legal, or security reasons. You may terminate your account in accordance with your plan. On termination, your right to use the Service ceases. We may retain and delete data in accordance with our Privacy Policy and any applicable data processing agreement.

Disclaimers

The Service is provided "as is". We do not warrant that the Service will be uninterrupted, error-free, or fit for a particular purpose beyond what is expressly stated. Advice, templates, or outputs generated via the Service (including AI-assisted content) are for general guidance and do not constitute legal, audit, or professional advice.

Limitation of liability

To the maximum extent permitted by applicable law: (1) We are not liable for indirect, incidental, consequential, or punitive damages, or loss of data, revenue, or profit; (2) Our total liability for any claims arising out of or related to these Terms or the Service is limited to the fees paid by you (or your organisation) for the Service in the twelve (12) months preceding the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (e.g. fraud, death or personal injury caused by negligence).

Governing law and disputes

These Terms are governed by the laws of [Jurisdiction, e.g. Sweden]. Any dispute arising out of or in connection with these Terms shall be submitted to the courts of [Jurisdiction]. If you are a consumer, mandatory consumer protection laws in your country may apply.

Changes to the Terms

We may update these Terms from time to time. We will post the current version on this page and, where required, notify you of material changes (e.g. by email or notice in the Service). Continued use of the Service after the effective date of changes constitutes acceptance. If you do not agree, you must stop using the Service.
